These Terms and Conditions (“Terms”) govern the rental consignment arrangement between Dress Loop (“Dress Loop”, “we”, “us”) and the Vendor (“Vendor”, “you”) who supplies garments or accessories (“Items”) for rental through Dress Loop’s platform and associated sales channels.
By submitting Items to Dress Loop, the Vendor agrees to be legally bound by these Terms.
Dress Loop operates a curated rental consignment program under which Vendors supply Items for commercial rental. Dress Loop manages pricing, marketing, photography, listing, bookings, cleaning, customer service, recovery processes, and administrative operations.
Items may be listed and promoted across multiple channels including Dress Loop’s website, social media, and third-party rental or marketplace platforms at Dress Loop’s discretion.
Dress Loop does not guarantee booking frequency, rental volume, or earnings.
All Items are accepted at the sole discretion of Dress Loop.
Items must be authentic, legally owned by the Vendor, and in excellent rental condition at the time of submission. Dress Loop may reject, request repair of, delist, or return any Item that does not meet quality or commercial standards.
The Vendor warrants that each Item is genuine, not counterfeit, legally owned by the Vendor, and free from undisclosed defects. Any prior alterations, repairs, or known issues must be disclosed prior to acceptance.
Upon acceptance of an Item into the rental program, the Vendor agrees to a fixed minimum consignment period of three (3) months commencing from the date the Item is first made available for rental.
During this minimum term, the Item must remain available for rental and may not be permanently withdrawn without written approval from Dress Loop.
If a Vendor requests early withdrawal during the minimum term, Dress Loop may require reasonable notice and may deduct any outstanding operational costs including cleaning, repairs, or administrative costs from final payouts.
After the initial three-month term, the arrangement continues on a month-to-month basis until terminated by either party with reasonable written notice.
Dress Loop may retire or return an Item at any time if it becomes commercially unsuitable.
Rental pricing is determined solely by Dress Loop based on demand, seasonality, brand desirability, RRP, performance data, garment condition, and commercial viability.
Vendor payout is calculated from Net Rental Revenue. Net Rental Revenue means rental income actually received by Dress Loop after deduction of payment processing fees, platform fees, discounts, refunds, chargebacks, cleaning costs unless otherwise agreed, repair costs, recovery costs, shipping costs, and applicable taxes.
Payouts are issued on a scheduled basis after the hire is completed and funds have cleared.
Dress Loop does not guarantee minimum revenue.
Dress Loop manages professional cleaning between hires.
Cleaning method, including wet cleaning or dry cleaning, is determined solely by Dress Loop based on fabric composition, garment structure, rental suitability, and commercial practicality. Cleaning decisions are not determined solely by the care label.
Dress Loop may use the method it reasonably considers most appropriate for maintaining rental hygiene, presentation, and longevity.
The Vendor acknowledges that repeated professional cleaning is inherent in rental and may result in gradual softening, minor shrinkage, slight colour variation, texture change, structural stress, or fibre fatigue over time.
Dress Loop is not liable for changes arising from professional cleaning consistent with rental use.
Cleaning costs may be deducted from Net Rental Revenue unless otherwise agreed in writing.
The Vendor acknowledges that rental garments experience repeated wear and professional cleaning.
General wear and tear is expected and includes minor fabric stress, light pilling, small pulls, slight stretching, minor marks, softening, fading, seam stress, hardware loosening, and subtle structural changes.
Vendors accept general wear and tear and will not be paid out, reimbursed, or compensated for general wear and tear.
Minor marks remaining after professional cleaning are considered general wear and tear.
Dress Loop retains sole discretion, acting reasonably, to determine whether an issue constitutes general wear and tear or damage.
Damage refers to material defects beyond general wear and tear.
Dress Loop may arrange repairs to maintain rental viability and may determine repair providers and methods at its discretion.
Repairs may prioritise functionality and rental suitability and may not restore the Item to original retail condition.
Repair costs may be recovered from the customer where possible and may also be deducted from Net Rental Revenue where recovery is unsuccessful.
The Vendor acknowledges that repairs may alter internal construction, finishing, or resale condition.
Dress Loop is not liable for diminution in resale value, aesthetic differences following repair, or commercial depreciation resulting from rental use.
Dress Loop is not required to replace any Item at retail value unless expressly agreed in writing.
Rental involves inherent risk of non-return, theft, fraud, or postal loss.
Dress Loop is not liable for theft, loss, fraudulent bookings, postal loss, or customer non-return.
Dress Loop will take reasonable steps to attempt recovery, including contacting the customer, issuing notices, pursuing payment processors, or engaging recovery services where commercially reasonable.
Dress Loop does not guarantee recovery of the Item or funds.
If funds are successfully recovered, Vendor compensation is limited to amounts actually received by Dress Loop after deduction of fees and recovery costs.
The Vendor acknowledges that this allocation of risk is reflected in the commission structure.
The Vendor acknowledges that rental garments experience accelerated lifecycle compared to personal ownership.
Over time, Items may experience cumulative wear, structural weakening, fabric fatigue, reduced rental demand, and reduced commercial viability.
Dress Loop may determine, at its sole discretion, that an Item has reached its end of rental life.
Once deemed end of life, the Item may be retired, discounted, sold, or returned.
No compensation is payable for depreciation, reduced resale value, cumulative wear, or loss of market desirability resulting from rental participation.
Participation in the program constitutes acceptance of commercial depreciation risk.
The Vendor may request temporary access to wear their own consigned Item provided the Item is not booked, reserved, scheduled for rental, scheduled for cleaning, or required for marketing purposes.
All wear requests must be approved in advance by Dress Loop.
The Item must be returned in the same condition as collected, subject only to reasonable personal wear.
If professional cleaning is required following Vendor use, Dress Loop may arrange cleaning and deduct the cost from the Vendor’s next payout.
Vendor use must not interfere with confirmed bookings, marketing campaigns, or operational needs.
Dress Loop reserves the right to decline a wear request where it may impact business operations.
To the maximum extent permitted by law, Dress Loop’s total liability to the Vendor is limited to the Net Rental Revenue actually received for the relevant Item during the applicable payout period.
Dress Loop is not liable for indirect or consequential loss, loss of resale value, loss of opportunity, business interruption, reputational harm, or emotional distress relating to garment condition.
Nothing in these Terms excludes, restricts, or modifies any rights or remedies available under the Australian Consumer Law that cannot lawfully be excluded.
Where liability cannot be excluded under Australian Consumer Law, Dress Loop’s liability is limited, at its option, to resupply of services or the cost of resupplying services.
The Vendor acknowledges that participation in a commercial rental consignment program constitutes a business arrangement rather than a consumer retail transaction.
Either party may terminate the arrangement with reasonable written notice following the minimum term.
Dress Loop may immediately terminate for breach of these Terms, fraud, misrepresentation, counterfeit goods, or abusive conduct.
These Terms are governed by the laws of Australia and the State in which Dress Loop operates.
